End User License Agreement (EULA)

Version: 2026-05-31 Applies to: each individual user of the SimCheck Services and the SimCheck Edge Software

1. Parties and Acceptance

This End User License Agreement (“EULA”) is between Diospyros Holdings LLC, a Wyoming limited liability company that operates the SimCheck.ai platform (“SimCheck”, “we”, “us”), and you, the individual using the Services (“you”). By accessing the web console, using the APIs, or installing, running, or permitting the operation of the Edge Software, you accept this EULA. This EULA supplements, and is governed by, the Terms of Service between SimCheck and your organization; capitalized terms not defined here have the meanings given there. If you do not agree, do not use the Services.

2. License Grant

Subject to your continuous compliance with this EULA, the Terms of Service, and the Acceptable Use Policy, SimCheck grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

  • access and use the SimCheck web console, APIs, and AI-assisted features (the “Console”) for your organization’s internal business purposes; and
  • install, run, and use the SimCheck edge software (“Edge Software”) solely on Edge Devices authorized under your organization.

This license exists only for the duration of your authorized use and is subject to the limits and quotas of your organization’s plan.

3. Reserved Rights and Ownership

SimCheck and its licensors own all right, title, and interest in and to the Console and the Edge Software, including all software, models, interfaces, content, and intellectual property, and all copies and derivatives. No title or ownership is transferred; all rights not expressly granted are reserved. You will not remove or alter any proprietary notices.

4. Open-Source and Third-Party Components

The Edge Software incorporates third-party and open-source components governed by their own license terms, set out in the THIRD_PARTY_LICENSES notice distributed with the Edge Software. Those terms control over this EULA for the components they cover, and nothing in this EULA limits any rights you have under an applicable open-source license. Where required, source or notices for such components are made available as stated in that notice.

5. Restrictions

You will not, and will not permit any third party to:

  • copy, modify, translate, distribute, sell, resell, sublicense, rent, lease, host as a service, or otherwise commercialize the Console or Edge Software except as expressly permitted;
  • reverse-engineer, decompile, disassemble, or attempt to derive source code or underlying ideas, except to the extent such restriction is prohibited by applicable law (and then only after notifying us);
  • remove, disable, bypass, or circumvent the AT command safety policy, tenancy isolation, authentication, rate limits, quotas, or any other safety, security, or access-control mechanism;
  • copy, extract, or run the Edge Software on any device other than an Edge Device authorized under your organization, or relocate it to an unauthorized environment;
  • interfere with, block, or tamper with the automatic update mechanism, or run modified or out-of-date Edge Software;
  • use the Console or Edge Software to develop or train a competing product or service, or use benchmarking or output for that purpose;
  • use the Services in violation of the Acceptable Use Policy or any applicable law, including telecommunications and export-control laws.

6. Automatic Updates

The Edge Software is designed to update itself automatically to maintain security, correctness, and compatibility with the platform and with mobile networks. You acknowledge and agree that the Edge Software may download and install updates without further notice, that prior versions may stop functioning, and that running an out-of-date or modified version may be blocked or unsupported.

7. Customer-Authored Code

Where the Services permit you to upload and run your own scripts on your private Edge Devices (the localScript capability), you are solely responsible for that code and its effects, subject to the Acceptable Use Policy. SimCheck provides the sandbox and resource controls on an as-is basis and is not responsible for the logic, behavior, or side effects of customer-authored code. Customer-authored code may not run on Shared Equipment.

8. Feedback

If you provide suggestions, ideas, or feedback about the Services, you grant SimCheck a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate it without restriction or obligation to you.

9. Disclaimers and Liability

The Console and Edge Software are provided “as is” and “as available” without warranty of any kind, and SimCheck does not warrant uninterrupted or error-free operation or any particular mobile-network outcome. The warranty disclaimers and limitations of liability in the Terms of Service apply to this EULA and are incorporated by reference.

10. Term and Termination

This license is effective until terminated. It terminates automatically and immediately if you breach this EULA, if your organization’s access is suspended or terminated, or if SimCheck discontinues the Services. On termination you must stop using the Console and remove the Edge Software from any device under your control, except where SimCheck reclaims and reprovisions the device. Sections 3, 4, 5, 8, 9, and 11 survive termination.

11. U.S. Government Rights; Export; General

The Console and Edge Software are “commercial” items; any use by or for a government is subject to the standard commercial license and restricted-rights terms. You will comply with applicable export-control and sanctions laws and will not export, re-export, or use the software in violation of them. This EULA is governed by the law and dispute-resolution terms stated in the Terms of Service.

12. Changes

We may update this EULA from time to time. When we make material changes, we will post the updated EULA with a new version and provide notice (for example, by email or within the Services). Your continued use of the Services after the update takes effect constitutes acceptance. If you do not agree, you must stop using the Services.
